Membership Agreement for Private Dairy Organization
This document constitutes a legally binding agreement between you, the Member, and the Private Dairy Organization. It outlines the terms and conditions governing your membership, share ownership, and access to products from the Herd.
1. Purpose and Membership
This Agreement establishes your status as a private member of the Organization, a private entity operating under the principles of private contract law. By signing this document, you acknowledge and agree to be bound by its terms. Your membership is a private matter, and you agree not to disclose confidential information regarding the Organization, its members, or its operations to any third parties, including but not limited to local, state, or federal agencies. This non-disclosure provision is essential to maintaining the private nature of the Organization.
2. Herdshare Ownership
Upon payment of the initial share fee, you acquire a private, undivided ownership share in the Organization's dairy herd (the Herd). Your ownership share entitles you to a portion of the milk and other dairy products produced by the Herd. Your share is not a security, and the Organization does not represent it as an investment. Your payment of the share fee and subsequent monthly fees is a contribution toward the maintenance, care, and well-being of the Herd.
3. Roles and Responsibilities
A. Member Responsibilities: As a Member, you agree to:
- Contribute your specified monthly fee, which covers the costs of boarding, feeding, and care for the Herd.
 - Conduct your own research and due diligence regarding the consumption of raw milk and other products derived from the Herd. You acknowledge and accept the potential risks associated with these products.
 - Adhere to all Organization policies, including health and safety protocols, and pickup procedures.
 
B. Agister Responsibilities: The Agister (the farmer/caretaker) agrees to:
- Maintain the Herd in a professional and humane manner.
 - Provide high-quality care, feed, and housing for the Herd.
 - Ensure the milking and processing facilities adhere to strict hygiene and sanitation standards.
 - Provide you with your allotted share of dairy products in a timely manner.
 
4. Liability Waiver and Indemnification
You, the Member, hereby release, waive, and discharge the Organization, its Agister, owners, and agents from any and all liability, claims, demands, actions, and causes of action whatsoever arising out of or related to any loss, damage, or injury, including death, that may be sustained by you, your family, or your property, while participating in the activities of the Organization. This includes, but is not limited to, any health risks associated with the consumption of raw milk. You agree to indemnify and hold harmless the Organization from any losses or claims that may arise from your membership.
5. Dispute Resolution
Any and all disputes, claims, or controversies arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of a mutually agreed-upon arbitration service. The decision of the arbitrator shall be final and binding on both parties.
6. Termination of Membership
This Agreement may be terminated by either party with thirty (30) days' written notice. Upon termination, your share ownership in the Herd shall cease, and you will no longer be entitled to receive products from the Herd. Any prepaid fees for the month of termination will not be refunded.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state where the Organization operates, without regard to its conflict of law principles.
By providing your information below and indicating your agreement, you acknowledge that you have read, understood, and agree to the terms of this Membership Agreement. You affirm that you are entering into this contract voluntarily and with a full understanding of its contents.
